1. Acceptance of Terms

By accessing and using FusionAI (operated by WinNetGlobal LLC) ("Service", "we", "us", or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Service

FusionAI provides a unified API platform that aggregates access to multiple artificial intelligence models, including but not limited to Claude (Anthropic), ChatGPT (OpenAI), Gemini (Google), and other AI services. We act as an intermediary between you and these third-party AI providers.

Our business model is to provide API infrastructure that enables access to these AI models through a single, unified interface and supporting tooling.

3. Account Registration

To use our Service, you must:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate, current, and complete
• Maintain the security of your password and identification
• Accept all responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

4. Credit System and Billing

Our Service operates on a credit-based pricing model:

• Credits are issued monthly and deducted based on API usage
• Credit costs vary by model and operation type
• Unused credits roll over for up to 3 months while your subscription is active
• All purchases are final unless otherwise stated in our Refund Policy
• We reserve the right to change pricing with 30 days notice
• You are responsible for all charges incurred under your account

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others, including intellectual property rights
• Generate or distribute harmful, abusive, or illegal content
• Use the Service for phishing, fraud, or deceptive practices
• Create, distribute, or enable malware, exploits, or unauthorized access
• Submit or process personal data without a lawful basis or required consent
• Collect, store, or transmit sensitive data without appropriate safeguards
• Attempt to reverse engineer or extract underlying AI model parameters
• Attempt to bypass safety filters, usage limits, or access controls
• Exceed rate limits or attempt to circumvent usage restrictions
• Use automated systems to abuse, scrape, or overload our infrastructure
• Share API keys with unauthorized parties or embed them in public code
• Use the Service to build or offer a competing service or model access proxy
• Misrepresent outputs as human-created or endorse false attribution
• Use the Service in high-risk or safety-critical contexts without safeguards

6. Intellectual Property

The Service and its original content, features, and functionality are owned by FusionAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not modify, reproduce, distribute, create derivative works, or publicly display any content from our Service without our prior written permission.

7. Third-Party Services

Our Service integrates with third-party AI providers. We are not responsible for the availability, accuracy, or reliability of these third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies.

8. Service Availability

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with advance notice and may need to suspend service for emergency maintenance. We are not liable for any damages resulting from service interruptions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUSIONAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

FusionAI is not responsible for, and disclaims liability arising from, any user-generated content, including prompts, inputs, outputs, or other materials created or transmitted through the Service.

10. Indemnification

You agree to defend, indemnify, and hold harmless FusionAI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Service or violation of these Terms.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the Service will immediately cease.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
